This addendum is part of the Client Terms. If it conflicts with the Client Terms on a free first-10 Google listing Tune-Up, this addendum controls for that free slot only.

1. Who and how you accept

You are the business owner ("you"). We are Braun Holdings LLC, an Arizona limited liability company, doing business as Local Listing Tune-Up ("we" or "us"). For a free slot you accept by email that (a) states your free-slot number (1 to 10), (b) links or quotes these terms, and (c) says you agree. Paying an invoice is not required for free work.

2. Consideration and mutual promises

Fee for this slot: $0. In exchange, we deliver one Google listing Tune-Up, and you promise to: give accurate business details; invite our business Google account as Google Business Profile Manager (not Owner), or confirm the no-access / screenshot path; review and approve drafts before anything is posted; and after you approve the work, send an honest written testimonial in your own words. Those mutual promises are the consideration for this agreement.

3. Scope and change limits

Included: scorecard, rewritten description, categories and services, photo checklist, review reply drafts, and a simple 30-day posting plan, for one Google Business Profile. Not included: website refresh, rebuilds, monthly care, extra locations, ads, or custom development. Out-of-scope work needs a written change note and a separate paid quote. We may pause the clock for Google verification, client delays, or missing access, as described in our service SLA.

4. No guarantees; AS IS

Google and other platforms decide rankings, reviews, calls, and visibility. We do not promise any ranking, review count, lead, sale, or AI answer. Free deliverables are provided AS IS. We promise careful, accurate work delivered on the stated clock once intake and access are ready. You approve and post.

5. Access, ownership, passwords, revocation

You give written consent (by accepting this addendum) for Manager access only, via Google's invite. You keep ownership of your profile, domain, site, and content. Never send a password, OTP, or recovery code; use role invites only. You may remove our access anytime. When the order closes, we remove or ask you to remove Manager and any site seats.

6. Reviews and naming (FTC and Google)

We follow 16 CFR Part 465 and Google's policies. No fake reviews, no employee or owner reviews pretending to be customers, no incentives for reviews, no review gating, no keyword stuffing of the business name. You will not ask us to. We may draft replies; you post them.

7. Your content and indemnity

You confirm you have the rights to the details, photos, logos, and text you supply, and that they are accurate. You indemnify Braun Holdings LLC and Local Listing Tune-Up for claims, losses, and reasonable costs (including attorneys' fees) arising from content or claims you supply or approve, or from your breach of these terms or of Google or FTC rules.

8. Testimonials and case studies

Required for this free slot: an honest written testimonial after you approve the work. We will not script stars or require a five-star Google review. Optional: separate written consent if we may use your name, quote, logo, or before/after as a reference or case study. You may approve the testimonial and refuse public case-study use.

9. Confidentiality

We use your business information only to do your work, keep it confidential, and delete working files 90 days after the project ends, except records we must keep for taxes and accounting. See our privacy policy.

10. Liability cap

To the fullest extent the law allows, our total liability for any claim related to this free slot is limited to one hundred US dollars ($100). We are not liable for lost profits, lost data, or indirect, incidental, special, or consequential damages, or for actions by Google or other third parties.

11. Independent contractor; not Google

We are an independent contractor, not your employee or agent. We are not affiliated with, endorsed by, or a partner of Google.

12. Arizona law and venue

Arizona law governs. Exclusive venue is the state or federal courts in Pima County, Arizona. You consent to personal jurisdiction there.

13. Other

If one part cannot be enforced, the rest still applies. Changes to terms apply to new acceptances, not work already approved under a prior email.
